Terms and Conditions

These Terms and Conditions govern your access to and use of the Service Marketplace Provider mobile application and the related services operated by Noorisys Technologies Pvt. Ltd.

By creating an account, registering as a service provider, or using the App, you agree to be bound by these Terms. If you do not agree with these Terms, please do not use the App.

1. About the App

The Service Marketplace Provider App enables service professionals and businesses to:

  • Create and manage service provider profiles.
  • List and manage services.
  • Set pricing and availability.
  • Receive and manage customer bookings.
  • Communicate with customers.
  • Manage payments and earnings.
  • Access platform features such as chat, notifications, subscriptions, and video calls, where available.

2. Eligibility

To use the App, you must:

  • Be at least 18 years of age.
  • Have the legal capacity to enter into a binding agreement.
  • Provide accurate, complete, and up-to-date registration information.

3. Account Registration and Security

You agree that:

  • You are responsible for maintaining the confidentiality of your login credentials.
  • You are responsible for all activities performed using your account.
  • You will immediately notify us of any unauthorized use of your account.
  • We reserve the right to suspend or terminate accounts containing false, misleading, or incomplete information or that violate these Terms.

4. Provider Responsibilities

As a service provider, you agree to:

  • Deliver services professionally, safely, and lawfully.
  • Maintain accurate and up-to-date information regarding your profile, pricing, availability, and supporting documents.
  • Respond promptly to customer bookings and communications.
  • Complete accepted bookings according to the agreed scope, schedule, and quality.
  • Comply with all applicable laws, regulations, licenses, and permits.
  • Refrain from fraud, misrepresentation, harassment, discrimination, abusive conduct, or any unlawful activity.

5. Bookings and Service Delivery

Bookings are facilitated through the App between providers and customers.

You acknowledge that:

  • You are solely responsible for the quality, safety, legality, and completion of your services.
  • Noorisys Technologies Pvt. Ltd. acts solely as a technology platform and is not a party to the service agreement between providers and customers unless expressly stated.

Cancellation, rescheduling, and completion policies may apply as specified within the App.

Repeated cancellations, no-shows, poor service quality, or customer complaints may result in account restrictions or suspension.

6. Fees, Payments, and Earnings

You acknowledge that:

  • Platform fees, commissions, subscriptions, or other applicable charges may apply.
  • Payments, wallet balances, settlements, and withdrawals are processed according to the payment methods and timelines supported by the platform.
  • You are solely responsible for reporting and paying any applicable taxes on your earnings.
  • We reserve the right to withhold, reverse, or adjust payments in cases involving fraud, disputes, chargebacks, errors, or violations of these Terms.

7. Subscriptions and In-App Purchases

Certain features may require payment through subscriptions or one-time purchases.

By purchasing a subscription or paid feature, you agree to:

  • The pricing displayed at the time of purchase.
  • The applicable billing cycle.
  • Any automatic renewal terms presented during checkout.

Unless required by law, subscription fees are non-refundable.

8. Communications and User Content

The App may provide communication features including:

  • Chat
  • Notifications
  • Reviews
  • Images and media uploads
  • Other interactive features

You agree not to upload or share content that is:

  • Illegal
  • Offensive
  • Defamatory
  • Fraudulent
  • Misleading
  • Infringing upon intellectual property rights
  • Harmful or abusive

We reserve the right to remove content and suspend accounts that violate these rules.

9. Video Calls and Third-Party Services

The App may integrate third-party services including, but not limited to:

  • Firebase
  • Google Sign-In
  • Facebook Login
  • Payment gateways
  • Google Maps
  • Push notifications
  • Twilio (where applicable)
  • Other communication and video calling services

Your use of these services is also governed by the respective third-party terms and privacy policies.

10. Intellectual Property

All software, trademarks, logos, graphics, content, designs, and other intellectual property associated with the App are owned by or licensed to Noorisys Technologies Pvt. Ltd.

You may not:

  • Copy
  • Modify
  • Distribute
  • Reverse engineer
  • Create derivative works

without our prior written permission.

You retain ownership of any content you upload but grant us a worldwide, non-exclusive, royalty-free license to use, host, reproduce, display, and distribute such content as necessary to operate, improve, and promote the platform.

11. Privacy

Your use of the App is also governed by our Privacy Policy.

By using the App, you consent to the collection, use, storage, and processing of your information as described in the Privacy Policy.

12. Disputes Between Providers and Customers

If a dispute arises regarding bookings, payments, cancellations, refunds, or service quality, both parties agree to cooperate with our dispute resolution process.

We may review available evidence and take actions we reasonably consider appropriate, including:

  • Refunds
  • Payment adjustments
  • Account warnings
  • Temporary suspension
  • Permanent account termination

13. Disclaimer of Warranties

The App and related services are provided on an "AS IS" and "AS AVAILABLE" basis.

To the fullest extent permitted by law, we make no warranties regarding:

  • Continuous availability
  • Error-free operation
  • Security
  • Reliability
  • Accuracy
  • Suitability for any particular purpose

We do not guarantee that providers will receive bookings or that customers will obtain satisfactory services.

14. Limitation of Liability

To the maximum extent permitted by applicable law, Noorisys Technologies Pvt. Ltd. shall not be liable for:

  • Indirect damages
  • Incidental damages
  • Special damages
  • Consequential damages
  • Punitive damages
  • Loss of profits
  • Loss of data
  • Loss of goodwill
  • Business interruption

Our total liability for any claim shall not exceed the total fees actually paid by you to us for the specific service giving rise to the claim, where applicable.

15. Indemnification

You agree to indemnify, defend, and hold harmless Noorisys Technologies Pvt. Ltd., its directors, officers, employees, affiliates, and partners from any claims, liabilities, damages, losses, costs, or legal expenses arising from:

  • Your services
  • Your content
  • Your misuse of the App
  • Your violation of these Terms
  • Your violation of any applicable law or third-party rights

16. Suspension and Termination

We reserve the right to suspend, restrict, or terminate your account at any time if you:

  • Violate these Terms.
  • Misuse the platform.
  • Engage in fraudulent or illegal activities.
  • Create risks for customers or the platform.

You may stop using the App at any time.

Any provisions intended to survive termination shall remain in effect.

17. Changes to These Terms

We may update these Terms periodically.

Updated Terms will be published within the App or on our website.

Your continued use of the App after such updates constitutes your acceptance of the revised Terms.

18. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of India.

Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the competent courts located in Nashik, Maharashtra, India, unless otherwise required by applicable law.
